1. Agreement to Terms

These Terms and Conditions ("Terms") govern your access to and use of the websites, applications, coaching programs, and other services (collectively, the "Services") provided by Amplified Consulting ("Amplified Consulting," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Services

Amplified Consulting provides coaching, advisory, and educational content for owner-operators and financial professionals. Nothing in the Services constitutes legal, tax, financial, investment, or accounting advice. You are solely responsible for decisions you make regarding your business.

3. Eligibility & Accounts

You must be at least 18 years old and able to enter into a binding contract to use the Services. If you create an account, you agree to provide accurate information and to keep your credentials confidential. You are responsible for all activity that occurs under your account.

4. Payments & Refunds

Fees for coaching engagements, programs, or app subscriptions will be disclosed at the time of purchase. Unless expressly stated otherwise in writing, all fees are non-refundable once services have begun. Recurring subscriptions renew automatically until canceled.

5. Acceptable Use

You agree not to:

• Use the Services in violation of any law or third-party right;
• Reverse engineer, resell, or redistribute any part of the Services or content;
• Upload malicious code, attempt to gain unauthorized access, or interfere with the Services;
• Share proprietary materials, recordings, or program content outside the intended audience.

6. Intellectual Property

All content, frameworks, curricula, software, trademarks, and materials made available through the Services are owned by Amplified Consulting or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services for your personal or internal business purposes. All other rights are reserved.

7. Third-Party Services

The Services may link to or integrate with third-party tools (for example, scheduling, email, or payment providers). We are not responsible for the availability, content, or practices of third-party services, and your use of them is governed by their own terms.

8. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. We do not guarantee any specific business, financial, or performance outcome.

9. Limitation of Liability

To the maximum extent permitted by law, Amplified Consulting will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Services. Our aggregate liability for any claim arising out of or relating to these Terms or the Services will not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless Amplified Consulting and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services or your breach of these Terms.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Sections intended to survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

12. Changes to These Terms

We may update these Terms from time to time. Updates take effect when posted to this page. Your continued use of the Services after the changes become effective constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the United States and the state in which Amplified Consulting is organized, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in that jurisdiction.
